The statutory body of a legal person that is not created by registration in a public register may submit the notification of a trade or an application for a concession after it has been created. If another legal act is required by law for the creation of a legal person (e.g. registration in the register of school legal entities in the case of a school legal person), any submission in respect of the notification of a trade or an application for a concession may only be made after all the conditions prescribed by law have been met and the legal person has been created. If the Trade Licensing Act requires the fulfilment of specific conditions for carrying on a trade, the entrepreneur must appoint a responsible representative for that trade. As its responsible representative, a Czech legal person appoints a person who is a member of its statutory body. if no member of its statutory body can be appointed as a responsible representative, the entrepreneur appoints another person as a responsible representative. A responsible representative appointed by an entrepreneur must meet the general (Section 6 of the Trade Licensing Act) and specific conditions for carrying on the trade, i.e. professional or other competence, if required by law (Section 7 of the Trade Licensing Act). The entrepreneur (and their responsible representative) must not be subject to any impediments to carrying on the trade (Section 8 or, if relevant, Section 8a of the Trade Licensing Act), and other conditions specified in the Trade Licensing Act must be met.
